Mr. Langer joined the firm in 1971 and has been a principal since 1975. Mr. Langer received a LL.M. degree in taxation from New York University School of Law in 1975, a J.D. degree, cum laude, from Albany Law School of Union University in 1971, and an A.B. degree from the University of Rochester in 1967. An Adjunct Professor of Law at Albany Law School since 1975, he teaches a course on business planning. Mr. Langer is listed in The Best Lawyers in America and Who's Who in American Law.
Mr. Langer practices general business law with an emphasis on taxation. He has extensive experience in a wide variety of legal issues facing businesses, including organizing corporations, limited liability companies, purchasing and selling businesses, leveraged buy-out transactions, financing arrangements, capital raising, venture capital, leasing and leveraged leasing, reorganizations/restructurings, shareholder agreements and disputes, qualified pension/profit sharing plans, ESOPs, and executive compensation plans. He represents clients in disputes with federal and state taxing authorities. Mr. Langer also engages in estate and management succession planning, particularly involving interests in closely-held businesses.
